Private credit
Private capital for established companies.
Northcove Financial provides structured private credit to established public and privately held companies. We tailor financing to the company’s capital structure, liquidity needs and timeline.
About NorthcoveOur approach
Start with the company.
We structure junior and mezzanine financing around existing obligations and the company’s next milestone. Depending on the transaction, financing can be subordinated, carry no lien or personal guarantee, and include room to increase capital as needs evolve.
We work directly with management teams and move quickly when timing matters.

Liquidity between milestones.
Companies often need to commit cash before the event that replenishes it. A large customer payment may be weeks away while suppliers and payroll come due. An acquisition may need to close before a planned refinancing. A public company may need operating liquidity while a capital raise is still in process.
We evaluate what needs to be funded, when cash is expected to come in, and what happens if that date moves. Those details shape the size, term and repayment profile of the financing.
Perspectives
Financing considerations.
Timing a bridge around a milestone
Start with the event expected to close the gap, such as a customer payment or a scheduled transaction. Compare the expected date with a realistic downside case. A structure that works on the base case can become restrictive if the milestone slips and repayment begins before the cash arrives.
Preserving flexibility in the capital structure
Pricing tells only part of the story. Review what the financing could mean for existing covenants, collateral and the ability to raise additional capital. Compare how each structure behaves if the business needs more time or has to change course.
Preparing for a lender conversation
A clear use of proceeds, an overview of existing obligations and a cash flow forecast give both sides a starting point. Explain what drives the forecast and which assumptions are most sensitive. That helps frame a discussion around how the business operates and how repayment would fit.
When to negotiate room for additional capital
If the timing or size of a cash need is uncertain, an accordion feature can give the company a way to request an increase under agreed conditions. It helps to establish those conditions early, including when the increase can be requested, what approvals are needed, and how the additional capital would be priced.
