About us
Structured financing for established companies.
Northcove Financial provides private credit to public and privately held companies, including established middle-market businesses. We tailor terms to the company’s capital structure, cash flow and timing.
Financing approach
Capital that fits the balance sheet.
Junior and mezzanine financing
We structure junior and mezzanine financing to sit alongside existing senior debt. Depending on the transaction, financing can be subordinated to senior lenders and structured without a lien or a personal guarantee.
We review existing credit agreements early to understand limits on additional debt and identify any consents a new facility would require. The goal is to structure the financing around the company's existing commitments and preserve flexibility for its next financing decision.
Flexibility as capital needs change
We can tailor funding and repayment terms to the company’s operating cash flow and financing objectives. Where appropriate, an accordion feature can provide a path to increase the facility as capital needs evolve, subject to agreed conditions.
Bridge financing with rapid turnaround
We move quickly when timing matters. Bridge financing can cover a gap ahead of a large receivable, an anticipated capital raise or a scheduled transaction. We build the terms around the expected milestone and account for the possibility that it takes longer than planned.
The financing process
From the first discussion to closing.
We start with the amount and timing of the need, the intended use of proceeds, and the expected source of repayment. An overview of current debt and a cash flow forecast help us assess how a new facility would fit.
When there is a fit, the discussion turns to the terms management needs to evaluate before committing. That includes the repayment schedule, any conditions for additional funding, and any lender consents or approvals needed for closing. We prioritize early decisions on those points when turnaround is critical.
